This Independent Contractor Agreement ("Agreement") is entered by and between:

("Contractor")

1. Engagement

Company engages Contractor to provide event-based photo booth and related services including, but not limited to:

Setup and breakdown of photo booth and/or 360 booth equipment
Operation of equipment during events
Guest engagement and hospitality
Managing print station and digital sharing
Maintaining event flow and professionalism
Protecting and transporting Company equipment

Contractor accepts such engagement and agrees to perform all services consistent with Company standards and brand expectations.

2. Term

This Agreement shall remain in effect for twelve (12) months from the effective date and shall renew automatically month-to-month unless terminated.

Either party may terminate with fourteen (14) days written notice.

Company may terminate immediately for:

Failure to appear at a scheduled event
Material breach of this Agreement
Conduct that damages Company reputation
Violation of confidentiality, non-solicitation, or equipment terms

3. Compensation

Compensation is event-based and calculated per the Oh Snap! Photo Booth Studio Rate Card (attached as Exhibit A or most recently provided to Contractor in writing). The Rate Card sets flat per-event fees by event duration and role (Attendant or Lead Attendant) and may be updated by Company from time to time. Updated Rate Cards will be provided in writing and apply to events booked after the update.

Each event will be confirmed in writing (email or booking platform) before Contractor is obligated to perform, stating the event date, call time, location, role, and total flat fee. No compensation is guaranteed unless Contractor formally accepts and completes an event.

3.1 Payment Method and Timing

Company shall pay Contractor within seven (7) calendar days after the completion of each event. Payment methods accepted:

ACH direct deposit

Contractor is responsible for providing accurate payment details and updating Company promptly if they change.

3.2 Gear Pickup Stipend (Lead Attendant Only)

When Company directs a Lead Attendant in writing to pick up equipment at the Company base (Hopedale, MA) prior to an event and return it to the base after the event, Company shall pay an additional fifty dollar ($50) gear pickup stipend per event.

Pickup is required only when Company specifies in writing that direct venue delivery is not available for that event. Where Company arranges direct venue delivery or an alternative equipment handoff, the gear pickup stipend does not apply.

3.3 Cancellation Protection

If a client cancels an event that Contractor has formally accepted, Company shall pay Contractor as follows:

Cancellation more than 48 hours before scheduled call time: no payment owed.
Cancellation within 48 hours but more than 24 hours before scheduled call time: fifty percent (50%) of the confirmed event fee.
Cancellation within 24 hours of scheduled call time, or day-of cancellation: one hundred percent (100%) of the confirmed event fee.

Gear pickup stipends are not paid on cancelled events. If Company reassigns Contractor to a replacement event of equal or greater fee at a comparable time, cancellation payment under this section is not owed for the original event.

3.4 Contractor Cancellation

Once Contractor has formally accepted an event, Company shall provide Contractor with at least seventy-two (72) hours' notice before the scheduled call time if unable to perform, except in cases of documented emergency (illness, injury, family emergency, or similar). Repeated cancellations with less than 72 hours' notice, or no-shows, are grounds for immediate termination under Section 2.

3.5 Tax and Records

Contractor shall complete and return IRS Form W-9 or electronic equivalent to Company before Company issues the first payment. Contractor is responsible for maintaining accurate records of all payments received from Company.

4. Independent Contractor Status

Contractor is an independent contractor and not an employee of Company.

Contractor:

Is responsible for all federal, state, and local taxes
Will receive a Form 1099-NEC as required by law
Is not eligible for Company benefits (health, retirement, paid leave, unemployment, or workers' compensation)
Controls the manner and means of performance, subject to brand standards and event timing
May accept or decline any individual event offer without penalty

Nothing herein creates an employer-employee relationship.

5. Contractor Standards and Responsibilities

Contractor agrees to:

Arrive on time and prepared
Dress in provided Oh Snap attire or professional event attire
Maintain a high-energy, hospitality-first presence
Refrain from alcohol or substance use during contracted times
Safeguard equipment at all times
Immediately report damage, loss, or safety concerns
Represent the Oh Snap! brand in a premium, professional manner

Company reputation is a critical business asset. Contractor performance directly impacts client retention and referrals.

5.1 Physical Requirements Acknowledgment

Contractor acknowledges that performance of services under this Agreement requires the ability to:

Stand and remain actively engaged for four (4) or more consecutive hours during an event
Lift and carry up to forty (40) pounds of equipment
Transport equipment between vehicle and venue (including stairs where elevators are unavailable)
Perform setup and breakdown tasks that involve bending, reaching, and fine motor work

Contractor represents that they are able to perform these functions with or without reasonable accommodation. Contractor shall promptly notify Company of any change in ability that would affect performance.

6. Confidentiality

Contractor acknowledges access to confidential business information including:

Pricing structures
Client lists
Marketing strategies
Templates and overlays
Vendor relationships
Internal workflows

Contractor agrees not to disclose or use such information for personal gain during or after this Agreement.

6.1 Client Event Confidentiality

Events produced by Company are private client functions. During and after any event, Contractor shall not:

Post, share, or publish photos, videos, audio, or written descriptions of client events on any personal social media, website, blog, or public platform
Identify clients, guests, venues, or event details publicly without Company's prior written permission
Use Company-captured images for Contractor's personal portfolio without prior written permission from Company

Company may grant written permission for specific portfolio use on a case-by-case basis. Violations of this section are grounds for immediate termination and may expose Contractor to liability for damages Company incurs as a result.

7. Non-Solicitation

During this Agreement and for one (1) year following termination, Contractor shall not:

Use Company client information for personal business
Recruit Company contractors or team members
Divert vendor relationships established through Company

This protects Company goodwill and brand equity.

8. Equipment and Property

All equipment remains sole property of Company including, but not limited to:

Booth structures
Cameras and lenses
Printers and media
Backdrops and props
Lighting and electronics
Tablets, software, and brand assets

Contractor agrees to use reasonable care and return all materials promptly.

Contractor may be financially responsible for damage caused by negligence beyond normal wear and tear.

9. Insurance Requirements

Contractor shall be covered under Company's liability policy when explicitly authorized in writing.

If Contractor uses personal vehicles for equipment transport, Contractor must maintain valid auto insurance as required by law.

Proof of insurance may be requested at any time.

Contractor understands that Company's insurance does not automatically extend to independent contractors unless explicitly documented.

10. Photo and Likeness Release

Contractor grants Company a perpetual, royalty-free, non-exclusive license to use Contractor's name, image, likeness, and voice captured during events or Company training activities in Company marketing materials, including website, social media, printed collateral, and client presentations. This release does not extend to third-party use outside of Company marketing without Contractor's additional written consent.

Contractor may request removal of a specific image or video from Company marketing by written notice, and Company will remove it from Company-controlled channels within a reasonable time, recognizing that previously distributed materials (e.g., printed items, third-party reposts) may be outside Company control.

11. Indemnification

Contractor agrees to indemnify and hold harmless Company from claims arising out of:

Contractor negligence
Misconduct
Violation of law
Breach of this Agreement

Company liability shall not exceed compensation paid for the event at issue.

12. Governing Law

This Agreement shall be governed by the laws of the Commonwealth of Massachusetts.

Disputes shall be resolved in Massachusetts courts.

13. Entire Agreement

This document, together with Exhibit A (Rate Card) and the Lead Attendant Addendum (where applicable), constitutes the entire agreement and supersedes prior discussions.

Modifications must be in writing and signed by both parties. Updates to the Rate Card do not require re-execution of this Agreement and apply to events booked after the update is provided to Contractor in writing.
